"Agent" mean the software code that GridIron provides to You in object code format (by CD, download or otherwise) for the purpose of facilitating the monitoring, collection, recording and transmission of Your Data and Metadata to the GridIron Service, and includes any updates, upgrades or enhancements to such code provided to You by GridIron.
"API" means the software code and certain protocols commonly known as the Gridiron Flow® Application Programming Interface that GridIron provides to You for purposes of facilitating the monitoring, collection, recording and transmission of Your Data and Metadata to the GridIron Service, and includes any updates, upgrades or enhancements to such provided to You by GridIron.
"Cookie" means a small file containing a string of characters that is sent to Your computer when You visit a website. When You visit the website again, the cookie allows that site to recognize Your browser. Cookies may store user preferences and other information. You can reset Your browser to refuse all cookies or to indicate when a cookie is being sent. However, some website features or services may not function properly without cookies.
"Files" means a particular piece of Your Data of which the GridIron Service monitors, collects, records and transmits Metadata; provided, however, that Files may not include and You should not sent to the GridIron Service any information protected by United States laws and regulations governing sensitive financial information and health care information, including without limitation any patient health information regulated by HIPAA or financial information governed by payment card industry standards, rules and regulations.
"GridIron Materials" means any documentation, user guides or other materials provided by GridIron to You in connection with your use of the GridIron Service.
"GridIron Service" means the Agent and the hosted set of solutions that are developed, operated, and maintained by GridIron (and its third party service providers) for the purpose of providing You with the ability to collect and/or aggregate Metadata on Files, as more fully described at http://www.gridironsoftware.com/files/MetadataCaptured.pdf. The GridIron Service does not include the API.
"GridIron Technology" means GridIron's proprietary technology and intellectual property rights therein (including, but not limited to, the GridIron Materials, software, documents, processes, user interfaces, patent, copyright and trade secret rights) used by GridIron in providing the GridIron Service to You.
"IP Address" means a unique number known as an Internet protocol (IP) address assigned to every computer connected to the Internet. Since these numbers are usually assigned in country-based blocks, an IP Address can often be used to identify the country from which a computer is connecting to the Internet.
"Metadata" means all data providing information about one or more Files, including but not limited to the means of creation, purpose of the data, time and date of creation, creator or author of data, placement on a network, access to such data on the network by users, date and time for such access, modifications to such asset, and sources of content elements, as collected by the GridIron Service. "Non-Personal Information" means information that is recorded about users so that it no longer reflects or references an individually identifiable user.
"Official Launch" means the date that the Public Beta of the GridIron Service ends and the GridIron Service is officially launched, both as Flow 2.0 Essentials and Premium Services. It is currently anticipated that the Official Launch will occur on November 16, 2010. However, because this date is subject to change, You are encouraged to check back regularly for any modifications to the anticipated Official Launch date.
"Personal Information" means information that You provide to GridIron which personally identifies You, such as Your name, email address or billing information, or other data which can be reasonably linked to such information by GridIron.
"Sensitive Information" means information GridIron knows to be related to confidential medical information, racial or ethnic origins, political or religious beliefs or sexuality and tied to Personal Information.
"Subscription Agreement" means any separate end user license agreement or subscription agreement between You and GridIron and/or an authorized GridIron distribution partner.
"Support" means access to online user guides, knowledge bases, support forums and self-help tools, and any additional standard support resources offered by GridIron from time to time.
"Subscription Term" means the initial use term ("Initial Term") and any additional renewal terms (each, a "Renewal Term") to the GridIron Service acquired by You.
"Your Data" means registration information, business and financial information, electronic transmissions and all other data of any kind contained within e-mails or otherwise submitted by You or entered electronically in the course of Your use of the GridIron Service, including without limitation Files. For the purposes of this definition, Your Data does not include Metadata.
